Pathfinder Referral Program Pilot: Terms and Conditions

These Referral Program Terms and Conditions ("Referral Terms") govern your participation in the Pathfinder Referral Program Pilot ("Program") offered by Pathfinder AI, Inc. ("Company," "Pathfinder," "we," or "us"). These Referral Terms supplement, and are incorporated into, the Pathfinder Terms of Use available at www.pathfindercard.com ("Terms of Use"). By participating in the Program, you agree to be bound by these Referral Terms and the Terms of Use. Capitalized terms not defined herein have the meanings assigned to them in the Terms of Use. In the event of any conflict between these Referral Terms and the Terms of Use, these Referral Terms will control with respect to the Program.

1. Program Overview

The Program is an invite-only pilot referral program through which selected, eligible Pathfinder cardholders ("Referrers") may refer new users ("Referees") to Pathfinder. The Referrer may earn bonus credits ("Referral Credits") redeemable toward Qualifying Enrichment Activities (defined below), subject to the terms and conditions set forth herein. Referral Credits are funded by Pathfinder from its own operating budget and are not funded by, reimbursed through, or sourced from any state educational savings account ("ESA") program or government funds.

2. Eligibility

2.1 Referrer Eligibility

To participate as a Referrer, you must:

  • Have been specifically selected and invited by Pathfinder to participate in the Program;
  • Be a primary Pathfinder Education Visa® Charge Card ("Card") cardholder;
  • Have a Card account that is open and in good standing (meaning your Card account has not been suspended, revoked, or closed by Pathfinder or Column, N.A.); and
  • Be in compliance with the Terms of Use and all applicable state ESA program requirements at the time of the referral and at the time of Referral Credit redemption.

2.2 Referee Eligibility

To qualify as a Referee, you must:

  • Be a new Pathfinder user who does not currently hold, and has not previously held, a Pathfinder Card; and
  • Be approved for a Pathfinder Card.

A Referee will become eligible to receive a Referral Credit only after completing their first Card purchase within 2 weeks of being approved.

3. How Referrals Work

3.1 Referral Process

The Referee must enter the Referrer's full name during the application. Referrals that cannot be matched to a Referrer (due to misspellings, omitted names, or other errors) will not be credited unless Pathfinder, in its sole discretion, is able to verify and match the referral.

3.2 Qualifying Referral

A "Qualifying Referral" means, with respect to a Referrer, that the Referee associated with such referral: (a) enters the Referrer's full name during the application; and (b) is approved for a Pathfinder Card. A "Qualifying Referral" means, with respect to a Referee, that the Referee: (a) enters the Referrer's full name during the application; (b) is approved for a Pathfinder Card; and (c) completes their first Card purchase within two weeks of creating a Pathfinder account. All conditions must be satisfied for the Referrer or Referee, as applicable, to qualify for any Referral Credits.

3.3 Referrer Limits

Each Referrer may make up to five (5) Qualifying Referrals during the Program period. Referrals beyond this limit will not generate Referral Credits. Referrers will be awarded one Referral Credit for each Qualifying Referral.

3.4 Referee Limits

Referees will be awarded one Referral Credit upon completing a Qualifying Referral.

3.5 Referral Period

The Program begins on May 21st, 2026 and ends on June 4th, 2026 ("Program Period"). Referral links must be shared, and Referees must submit an application, during the Program Period. Referee applications submitted after the Program Period will not be eligible for Referral Credit.

4. Referral Credits

4.1 Referrer Credits

Upon each Qualifying Referral, the Referrer will earn one Referral Credit worth $10.00. The Referrer is eligible to earn no more than five (5) Referral Credits during Program Period regardless of the number of Qualifying Referrals referred, for a maximum total of $50.00. Referral Credits will be available to the Referrer within thirty (30) days after the Qualifying Referral is completed. To redeem a Referral Credit, Referrers must use their Card to make the Qualifying Enrichment Activity purchase.

4.2 Referee Credits

The Referee will earn one Referral Credit worth $10.00 after completing their first Card transaction within two weeks of creating a Pathfinder account. If the Referee's first Card transaction is a Qualifying Enrichment Activity, the Referee may apply the Referral Credit retroactively to that transaction. If the Referee's first Card transaction is not a Qualifying Enrichment Activity, the Referee may apply the Referral Credit to any subsequent Qualifying Enrichment Activity of their choice in accordance with these Referral Terms. To redeem a Referral Credit, Referees must use their Card to make the applicable Qualifying Enrichment Activity purchase. Referral Credits will be applied according to these Referral Terms.

4.3 Applying Credits

Referral Credits may be applied only to Qualifying Enrichment Activities. A participant may apply up to five (5) Referral Credits, for a maximum of $50.00, to a single Qualifying Enrichment Activity selected by the participant. Referral Credits may be applied retroactively as statement credits against eligible Qualifying Enrichment Activity purchases. If the selected Qualifying Enrichment Activity purchase is greater than the Referral Credit amount applied, the credit will be applied before calculating the ESA program reimbursement request amount. If the selected Qualifying Enrichment Activity purchase is less than the Referral Credit amount applied, the credit will be applied only up to the purchase amount, and any unused credit balance will remain available in accordance with Section 5.4.

4.4 Referral Credit Stacking

Participants may accumulate and stack up to five (5) Referral Credits, for a maximum of $50.00, and may choose to apply those Referral Credits to a Qualifying Enrichment Activity in accordance with Section 4.3. Any unused balance will be carried forward to future Qualifying Enrichment Activities in accordance with Section 5.4.

4.5 Referral Credits are Non-Transferable

Referral Credits cannot be transferred to another person, redeemed for cash, or applied to transactions other than Qualifying Enrichment Activities.

5. Qualifying Enrichment Activities and Redemption

5.1 Definition

A "Qualifying Enrichment Activity" is an in-person activity lasting at least thirty (30) minutes that is approved as an eligible expense under the Arizona Empowerment Scholarship Account (ESA) program. Examples include, but are not limited to: museum visits, archery lessons, horseback riding, camps, theatre performances, aquarium admissions, science center visits, and tutoring sessions.

5.2 Participant-Selected Redemption

Referral Credits will not be applied automatically. When you make a purchase on your Card that Pathfinder identifies as a Qualifying Enrichment Activity, you may choose to apply available Referral Credits to that transaction, including retroactively after the transaction has occurred, subject to these Referral Terms. Referral Credits will be applied on a first-in, first-out basis unless Pathfinder determines, in its sole discretion, to apply credits in a different order to administer the Program.

5.3 How Credits Are Applied

When a Referral Credit is applied to a Qualifying Enrichment Activity selected by you, Pathfinder will credit the Referral Credit amount against your Card transaction before submitting the remaining balance, if any, to the state for ESA reimbursement. Credits will be applied as a statement credit against your card balance.

5.4 Partial Redemptions

Each Referral Credit is a one-time credit of $10.00. If the Qualifying Enrichment Activity costs less than the available Referral Credit amount, the credit will be applied up to the purchase amount, and the remaining unused credit balance will be retained in your account for application to future Qualifying Enrichment Activities until the credit expires in accordance with Section 5.5.

5.5 Expiration

Referral Credits expire six (6) months from the date of issuance. Expired credits are forfeited and have no cash value.

5.6 Surviving Credits

Referral Credits that have been earned but not yet redeemed will remain available for redemption in accordance with these Referral Terms (including the six-month expiration period) even if the Program is terminated early by Pathfinder.

6. Referrer Representations and Obligations

By participating in the Program as a Referrer, you represent and warrant that:

  • You have a personal relationship with each individual you refer.
  • You have obtained the necessary permission from each individual before sending them your referral by text message, email, or other means.
  • You will not engage in spamming, harassment, or misrepresentation in connection with the Program and you will comply with applicable law.
  • You will not refer yourself, create fictitious accounts, or otherwise attempt to manipulate the Program.
  • FTC Disclosure. When sharing your referral, you acknowledge that you will receive a financial benefit ($10.00 Referral Credit) if your referral results in a Qualifying Referral. Under Federal Trade Commission guidelines, this benefit constitutes a material connection that must be disclosed to each individual you refer. You understand that Pathfinder may, in its sole discretion, include this information in communications to each Referee.
  • When you share your referral link, you will disclose that you are a Pathfinder cardholder. You do so at your own discretion and risk.
  • The Pathfinder Card is subject to the disclosure requirements of the Truth in Lending Act (15 U.S.C. § 1601 et seq.) and Regulation Z (12 CFR Part 1026). Nothing in these Referral Terms modifies or supersedes the disclosures required to be made to a Referee in connection with the application for, and opening of, a Pathfinder Card account. Participation in the Program does not alter a Referee's right to receive all required credit cost disclosures prior to account opening. Any referral-triggered application flow will present Referees with complete and accurate application disclosures as required by applicable law, independent of and in addition to these Referral Terms. Referrers are not authorized to make representations about the terms, rates, fees, or credit terms of the Pathfinder Card on Pathfinder's behalf, and any such representations will not be binding on Pathfinder or Column, N.A.

7. Privacy, Data Sharing, and Consent

7.1 Referrer Notifications

As part of the Program, Pathfinder may notify the Referrer when a Referee's application has been approved and when the Referee's first transaction has been completed. These notifications may include the Referee's name. The Referee must provide explicit consent to this limited data sharing during the application process.

7.2 Referee Consent

By entering a Referrer's name during the application process and accepting these Referral Terms, the Referee consents to Pathfinder sharing the following limited information with the Referrer: (a) the Referee's name; (b) the Referee's application approval status; and (c) confirmation that the Referee has completed their first Card transaction. No other personal information, financial information, or transaction details will be shared with the Referrer.

7.3 Privacy Policy

All personal information collected in connection with the Program is subject to Pathfinder's Privacy Policy, in addition to these Referral Terms. By participating in the Program, you consent to the collection, use, and limited disclosure of your information as described in these Referral Terms and the Privacy Policy.

8. Tax Responsibilities

Referral Credits may be considered taxable income. You are solely responsible for reporting the value of any Referral Credits received and for paying any applicable taxes. If the aggregate value of Referral Credits and any other rewards or incentives you receive from Pathfinder equals or exceeds the applicable IRS reporting threshold in a calendar year, Pathfinder may be required to issue a Form 1099-MISC or other tax information reporting form to you and to the IRS. By participating in the Program, you agree to provide Pathfinder with any information reasonably necessary for tax reporting purposes upon request.

9. Fraud and Program Abuse

9.1

Pathfinder reserves the right, in its sole discretion, to disqualify any participant from the Program and to forfeit, invalidate, or reverse any Referral Credits if Pathfinder determines or reasonably believes that such credits were earned through error, fraud, abuse of Program privileges, or violation of these Referral Terms. This includes, without limitation: (a) self-referrals; (b) referrals to existing Pathfinder users or previously terminated users; (c) use of fake, misleading, or duplicate accounts; (d) any scheme to artificially generate Qualifying Referrals; and (e) misrepresentations in connection with the Program.

9.2

Pathfinder may investigate any suspected Program abuse and may suspend or terminate your participation during any such investigation. Program abuse may also constitute grounds for termination of your Card account and access to the Services under the Terms of Use.

10. Program Modification and Termination

10.1

Pathfinder reserves the right to modify, suspend, or terminate the Program, or any aspect of it, at any time, with or without notice, in its sole discretion. Modifications may include changes to Referral Credit amounts, eligibility requirements, qualifying activities, or Program structure.

10.2

If the Program is terminated, Referral Credits already earned will remain available for redemption subject to the six (6)-month expiration period set forth in Section 5.5. No new Referral Credits will be earned after the termination date.

10.3

If your Card account is closed or is no longer in good standing, you will forfeit any unearned Referral Credits. Earned but unredeemed Referral Credits will remain available for redemption subject to Section 5.5 if your account is reinstated within the applicable expiration period.

10.4

Pathfinder reserves the right to delay or not enforce any of its rights under these Referral Terms without waiving or losing the right to enforce them later.

11. No Warranty; Limitation of Liability

11.1

The Program is provided "as is" and "as available." Pathfinder makes no warranties, express or implied, regarding the Program, including any warranty that the Program will operate without interruption or error.

11.2

Pathfinder is not responsible for:

  • Referral Credits that are not earned due to technical errors, referral matching failures, or incomplete applications;
  • Any state agency's treatment of transactions to which Referral Credits have been applied; or
  • Any adverse tax consequences resulting from participation in the Program.

11.3

To the fullest extent permitted by law, Pathfinder's aggregate liability arising out of or relating to the Program will not exceed the total value of Referral Credits earned by you under the Program.

11.4

The limitation of liability and disclaimer of warranties provisions in the Terms of Use apply to the Program.

12. Dispute Resolution

Any dispute or claim arising out of or relating to these Referral Terms or the Program will be resolved in accordance with the arbitration provision and class action waiver set forth in the Terms of Use. These Referral Terms are subject to the governing law and jurisdiction provisions of the Terms of Use.

13. General Provisions

13.1

These Referral Terms, together with the Terms of Use, Privacy Policy, and Electronic Consent Agreement, constitute the entire agreement between you and Pathfinder with respect to the Program.

13.2

Pathfinder's failure to exercise or enforce any right or provision of these Referral Terms will not constitute a waiver of such right or provision.

13.3

If any provision of these Referral Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

13.4

These Referral Terms may not be assigned by you without Pathfinder's prior written consent.
